Toriino LLC Terms of Service for our website, mobile applications, and learning platform.
Effective Date: June 26, 2026
These Terms of Service ("Terms") are a legal agreement between you and Toriino LLC ("Toriino," "we," "us," or "our"). These Terms govern your access to and use of Toriino.
By using Toriino, creating an account, submitting a form, joining a session, participating in a course, applying to teach or mentor, purchasing a service, or accessing any Toriino feature, you agree to these Terms.
If you do not agree to these Terms, do not use Toriino.
1. Acceptance of These Terms
By accessing or using Toriino, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not access or use Toriino.
These Terms apply to our website, mobile applications, waitlists, forms, live sessions, courses, mentorship services, AI-supported features, digital resources, organization spaces, and any other Toriino products or services.
If you use Toriino on behalf of a company, school, organization, employer, team, or other entity, you represent that you have authority to bind that entity to these Terms.
2. About Toriino
Toriino is a learning, teaching, mentorship, coaching, and opportunity platform designed to connect students, learners, teachers, mentors, coaches, creators, experts, organizations, and future training or employer partners.
Toriino may provide courses, live cohorts, mentorship sessions, conversation-based learning, digital resources, certificates, AI-supported tools, organization spaces, and related services.
Toriino may evolve over time. Features may be added, changed, limited, suspended, or discontinued at any time.
3. Eligibility and Accounts
You must be at least 13 years old to use Toriino. If you are under 18, you may use Toriino only with permission from a parent or legal guardian.
Toriino is not intended for children under 13. If we later offer child, school, youth, or family-specific services, additional terms, consent, and safeguards may apply.
You are responsible for maintaining accurate account information, protecting your login credentials, and all activity that occurs under your account.
You may not create an account using false information, impersonate another person or organization, or use another person account without permission.
4. User Roles
Toriino may allow users to participate as students, learners, teachers, mentors, coaches, creators, experts, organization administrators, employer partners, or other roles.
Students and learners use Toriino to learn, participate in courses or sessions, receive mentorship, ask questions, practice skills, and access resources.
Teachers may create structured courses, live classes, cohort-style programs, workshops, resources, certificates, or other educational experiences.
Mentors may offer personal guidance, live conversations, Q&A sessions, coaching, feedback, language practice, or experience-based support.
Organizations, employers, schools, teams, or training partners may in future phases create private programs, training spaces, onboarding pathways, interviews, or candidate-development experiences.
5. No Guarantee of Results
Toriino does not guarantee that using the platform will result in any specific educational, career, financial, employment, business, health, fitness, personal, spiritual, or life outcome.
Toriino does not guarantee jobs, internships, interviews, promotions, admissions, certifications, licenses, income, clients, followers, sales, business success, athletic performance, health improvements, or personal results.
Any courses, mentorship, coaching, AI outputs, certificates, training programs, recommendations, or opportunities are for learning and informational purposes unless expressly stated otherwise in a separate written agreement.
You are responsible for your own decisions, actions, effort, judgment, and results.
6. Teachers, Mentors, Coaches, and Creators
Teachers, mentors, coaches, creators, and experts are responsible for the accuracy, legality, safety, quality, and appropriateness of the content, services, statements, materials, and guidance they provide.
Toriino may review, approve, reject, remove, rank, promote, or limit teachers, mentors, coaches, creators, content, courses, profiles, or services at our discretion.
A teacher, mentor, coach, creator, or expert relationship on Toriino does not create an employment, partnership, franchise, agency, fiduciary, medical, legal, financial, or professional-client relationship with Toriino.
Teachers, mentors, coaches, and creators are not employees of Toriino unless expressly stated in a separate written agreement.
You may not misrepresent your experience, credentials, qualifications, identity, results, earnings, or professional status.
7. Students and Learners
Students and learners are responsible for evaluating whether a course, teacher, mentor, coach, creator, expert, session, resource, or opportunity is appropriate for them.
You are responsible for your participation, effort, attendance, assignments, communications, decisions, and actions based on what you learn through Toriino.
You should not rely on Toriino, teachers, mentors, coaches, creators, AI outputs, or other users as a substitute for professional advice where professional advice is required.
8. Organizations, Employers, and Private Spaces
In future phases, organizations may use Toriino for private courses, trainings, onboarding, mentorship, interviews, candidate development, workforce learning, team education, or other internal programs.
If you participate in a private organization space, your activity, progress, attendance, messages, session participation, submissions, certificates, AI summaries, and related information may be visible to authorized organization administrators depending on the program and settings.
Organizations are responsible for their own hiring, employment, training, compliance, evaluation, onboarding, and workplace decisions.
Toriino is not responsible for employment decisions, hiring outcomes, workplace disputes, compensation decisions, promotion decisions, or organization-specific policies.
9. User Content
User Content means content, information, files, messages, course materials, recordings, transcripts, comments, resources, reviews, questions, answers, profile details, and other materials that users upload, create, share, submit, or make available through Toriino.
You retain ownership of your User Content, subject to the license you grant to Toriino in these Terms.
You represent that you have all rights, permissions, licenses, and consents needed to submit your User Content and allow Toriino to use it as described in these Terms and our Privacy Policy.
You may not submit User Content that is unlawful, infringing, misleading, harmful, abusive, hateful, sexually exploitative, harassing, defamatory, fraudulent, invasive of privacy, or otherwise violates these Terms.
10. License to Toriino
By submitting User Content to Toriino, you grant Toriino a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, process, reproduce, display, perform, transmit, distribute, modify, adapt, analyze, summarize, index, and use that User Content as needed to operate, provide, improve, secure, support, and develop Toriino.
This license allows Toriino to provide platform features, live sessions, courses, mentorship tools, AI-supported features, search, summaries, recommendations, moderation, safety tools, customer support, analytics, and other services.
Private content is not automatically treated as public content. Toriino may limit access to private course, session, mentorship, or organization content based on role, permission, enrollment, organization membership, consent settings, and applicable law.
Toriino may use public, licensed, authorized, opted-in, aggregated, anonymized, or de-identified content for broader platform knowledge systems, analytics, product development, AI-supported features, and service improvement.
11. Live Sessions, Recordings, and Transcripts
Toriino may support live video, audio, chat, cohort, mentorship, coaching, interview, conversation, and meeting features.
Some sessions may be recorded, transcribed, summarized, analyzed, or processed by AI-supported tools. Where required, Toriino will provide notice and/or request consent before recording or transcribing.
If a session is being recorded or transcribed and you do not consent, do not join or continue participating in that session.
You agree not to record, screenshot, distribute, publish, or share another user private session, image, audio, video, chat, transcript, or content without proper permission and legal authority.
Toriino may use session data to provide summaries, notes, learning support, AI agents, quality review, safety monitoring, dispute resolution, compliance, and platform functionality as described in our Privacy Policy.
12. AI-Supported Features
Toriino may provide AI-supported notes, summaries, transcripts, study tools, recommendations, search, chat, AI agents, knowledge retrieval, moderation, quality review, and other AI features.
AI outputs may be inaccurate, incomplete, misleading, outdated, biased, inappropriate, or not suitable for your situation.
You are responsible for reviewing AI outputs and using your own judgment before relying on them.
AI outputs are not professional, legal, medical, financial, tax, employment, mental health, educational accreditation, or safety advice.
Toriino may limit, suspend, modify, or remove AI features at any time.
13. Payments, Platform Fees, and Payouts
Toriino may allow paid courses, live sessions, mentorship, coaching, digital products, subscriptions, platform fees, certificates, organization programs, or other paid services.
Payments, billing, taxes, refunds, chargebacks, and payouts may be processed by third-party payment providers such as Stripe, app stores, or other processors.
Teachers, mentors, coaches, creators, and experts are responsible for any taxes, reporting, licenses, permits, and legal obligations related to their earnings unless otherwise required by law.
Toriino may charge platform fees, payment processing fees, subscription fees, service fees, payout fees, or other charges. Fees may change over time.
Toriino may withhold, delay, reverse, or cancel payouts where necessary for refunds, chargebacks, fraud prevention, compliance, disputes, account review, legal obligations, or violation of these Terms.
14. Refunds and Cancellations
Refunds may depend on the type of product or service, the teacher, mentor, coach, creator, payment processor, app store rules, applicable law, and Toriino policies in effect at the time of purchase.
Unless a separate refund policy states otherwise, purchases may be final and non-refundable once a course, session, digital resource, certificate, subscription period, or service has started, been accessed, been delivered, or been made available.
Toriino may provide refunds, credits, or cancellations at our discretion, but doing so does not require us to provide the same outcome in the future.
If a purchase is made through Apple App Store, Google Play, or another third-party platform, refunds may be handled by that platform under its own rules.
You are responsible for reading the applicable pricing, cancellation, refund, and subscription terms before purchasing.
15. Subscriptions and Auto-Renewals
If Toriino offers subscriptions or auto-renewing services, we will provide pricing, renewal, billing, and cancellation information at or before purchase.
Subscriptions may automatically renew unless canceled before the renewal date through the applicable account settings, payment processor, app store, or platform used to purchase.
Deleting the app may not cancel a subscription. You must cancel through the proper billing platform or account settings.
Subscription terms may vary depending on whether you purchased directly from Toriino, through an app store, through an organization, or through a third-party provider.
16. Certificates, Credentials, and Opportunities
Toriino may allow teachers, organizations, or programs to issue certificates, completion records, badges, or other recognition.
Unless expressly stated in writing, Toriino certificates are not accredited degrees, professional licenses, government credentials, employment guarantees, admission guarantees, or industry certifications.
Employers, organizations, schools, licensing bodies, and third parties decide whether to accept or recognize any certificate, badge, course, mentor record, or training activity.
Toriino may offer or display opportunities, internships, jobs, interviews, programs, or recommendations in future phases, but Toriino does not guarantee selection, hiring, compensation, placement, or outcome.
17. Prohibited Conduct
You agree not to misuse Toriino or help anyone else misuse Toriino.
You may not use Toriino for unlawful activity, harassment, discrimination, hate, threats, exploitation, fraud, spam, impersonation, credential misrepresentation, intellectual property infringement, privacy violations, security attacks, scraping, reverse engineering, or distribution of malware.
You may not interfere with the platform, bypass security, access accounts or data without permission, overload systems, attempt to extract private data, or use Toriino to build competing datasets or AI systems without permission.
You may not use Toriino to provide regulated professional services unless you have all required licenses, permissions, and legal authority.
You may not upload or request content involving sexual exploitation, abuse, illegal activity, self-harm encouragement, violence, or other prohibited material.
18. Intellectual Property
Toriino, including our name, logo, branding, design, software, website, app, features, text, graphics, icons, systems, AI tools, and other materials, is owned by Toriino LLC or our licensors and is protected by intellectual property laws.
You may not copy, modify, sell, resell, license, distribute, reverse engineer, or create derivative works based on Toriino without our permission.
Teachers, mentors, coaches, creators, and users must respect the intellectual property rights of others.

19. Third-Party Services
Toriino may rely on third-party services, including hosting providers, app stores, payment processors, live video providers, AI providers, email providers, analytics providers, and other tools.
Your use of third-party services may be subject to separate terms and privacy policies.
Toriino is not responsible for third-party services, outages, errors, policies, fees, decisions, or data practices.
20. App Stores
If you download or purchase Toriino through Apple App Store, Google Play, or another app marketplace, the applicable app store terms may also apply.
App stores may handle billing, refunds, subscriptions, updates, availability, and certain account features under their own policies.
If these Terms conflict with required app store terms, the app store terms may control only to the extent required for your use of that app store.
21. Privacy
Your use of Toriino is also governed by our Privacy Policy.
The Privacy Policy explains how we collect, use, disclose, store, and protect information, including information related to live sessions, AI-supported features, recordings, transcripts, organizations, payments, and app-store disclosures.
22. Early Access and Beta Features
Toriino may provide early access, beta, experimental, limited, or pre-release features.
Early access and beta features may be incomplete, unavailable, unstable, inaccurate, limited, or changed without notice.
Submitting a waitlist, teacher, mentor, coach, creator, organization, or contact form does not guarantee access, approval, partnership, listing, earning opportunity, or account creation.
23. Account Suspension and Termination
Toriino may suspend, limit, remove, or terminate your account, content, profile, access, courses, sessions, payouts, or use of the platform if we believe you violated these Terms, created risk, harmed users, misused the platform, violated law, caused payment issues, or acted in a way that may harm Toriino.
You may stop using Toriino at any time.
Termination does not automatically remove obligations that already arose, including payment obligations, license rights already granted, dispute terms, disclaimers, limitations of liability, indemnity, or legal compliance obligations.
24. Disclaimers
Toriino is provided on an as-is and as-available basis.
To the fullest extent permitted by law, Toriino disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, accuracy, security, and course or mentorship outcomes.
Toriino does not guarantee that the platform will be uninterrupted, error-free, secure, accurate, complete, or available at all times.
Toriino does not guarantee the quality, accuracy, safety, legality, or usefulness of any teacher, mentor, coach, creator, expert, organization, course, session, AI output, certificate, opportunity, or user content.
25. Limitation of Liability
To the fullest extent permitted by law, Toriino LLC and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages.
This includes damages related to lost data, lost revenue, lost business, lost opportunity, lost employment, lost goodwill, personal decisions, AI outputs, user content, teacher or mentor conduct, organization decisions, payment issues, platform downtime, or unauthorized access.
To the fullest extent permitted by law, Toriino total liability for any claim related to the services will not exceed the greater of one hundred dollars or the amount you paid to Toriino for the specific service giving rise to the claim during the three months before the claim arose.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
26. Indemnification
You agree to defend, indemnify, and hold harmless Toriino LLC and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from your use of Toriino, your User Content, your violation of these Terms, your violation of law, your violation of another party rights, your services as a teacher, mentor, coach, creator, expert, or organization, or your misuse of the platform.
27. Disputes, Governing Law, and Arbitration
These Terms are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict of law rules.
Before filing a formal claim, you agree to first contact Toriino at [support@toriino.com](mailto:support@toriino.com) and try to resolve the dispute informally.
To the fullest extent permitted by law, disputes that cannot be resolved informally will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring a claim in small claims court if eligible.
You and Toriino waive the right to a jury trial and waive the right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding to the fullest extent permitted by law.
This arbitration and class waiver section should be reviewed by legal counsel before full public launch to confirm enforceability and required disclosures for your business model and user locations.
28. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may notify you by updating the effective date, posting a notice on our website, sending an email, providing an in-app notice, or using another reasonable method.
Your continued use of Toriino after updated Terms become effective means you accept the updated Terms.
